SWEEPSTAKES ENTRY PERIOD: The entry period for Brilliant Earth’s “Brilliant Earth x Elaina Michelle Giveaway" (the "Sweepstakes") starts on December 17, 2025 at 9:00 AM Pacific Time ("PT") and will end on December 21, 2025 at 11:59 PM PT ("Sweepstakes Entry Period"). Entry into the Sweepstakes does not constitute entry into any other promotion, contest, or sweepstakes. THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH FACEBOOK, INSTAGRAM, TIKTOK, TWITTER, OR OTHER SOCIAL MEDIA PLATFORMS. 2. SPONSOR: The sponsor for the Sweepstakes is Brilliant Earth, LLC, located at 300 Grant Ave., 3rd Floor, San Francisco, California 94108 USA (“Sponsor” or “Brilliant Earth”). For purposes of this Sweepstakes, Sponsor has partnered with the influencer named in Section 4 below (“Influencer”) to publish a collaborative Instagram post among Sponsor and Influencer announcing the Sweepstakes. Influencer is not responsible for the administration of this Sweepstakes. 3. ELIGIBILITY: The Sweepstakes is open to current legal residents of the 50 United States and Washington, D.C. All entrants must be 18 years of age or older or age of majority or older (in those jurisdictions where age of majority is over 18). Employees of Sponsor or Influencer, including employees of Sponsor’s or Influencer’s respective affiliates and subsidiaries, such employees’ immediate family members (parents, children, siblings, spouse), and any other individuals living in the same households of such employees are not eligible. Void elsewhere and where prohibited by law. 4. HOW TO ENTER: Visit the collaborative Instagram post announcing the Sweepstakes (Sponsor’s Instagram account is available at https://www.instagram.com/brilliantearth) and follow the instructions: follow @brilliantearth and @elainamich on Instagram (collectively, the “Sweepstakes Accounts”); like and save the Sweepstakes post; and leave a comment on the Sweepstakes post that includes a friend mention. All entrants must have an individually held Instagram account (personal, creator, and business Instagram account types are all acceptable, as long as individually held by entrant) and must be following all Sweepstakes Accounts on Instagram at the time of winner selection to be eligible to win. Limit one (1) entry per person, per Instagram account. For clarity, being mentioned in another person’s entry comment (if applicable) does not constitute an entry into the Sweepstakes or count towards the entry limit, and anyone who has been mentioned in another entrant’s comment may submit their own Sweepstakes entry. Multiple entries received from any person or Instagram account after the first entry received from that person or Instagram account will be void and will not be counted. Any attempt to obtain more than the stated number of entries by using multiple/different email or mailing addresses, accounts, identities, registrations and logins, or any other methods, will disqualify all that participant’s entries and that participant will be disqualified from the Sweepstakes and may be disqualified from future Sponsor promotions. In the event of a dispute as to the identity of an entrant, the natural person who is the authorized account holder of the email address associated with the Instagram account used to enter this Sweepstakes will be deemed the entrant. Any use of an automated system to participate is strictly prohibited and will result in disqualification from the Sweepstakes and all future Brilliant Earth promotions. By entering into this Sweepstakes, you agree that Sponsor may contact you on Instagram by sending you a direct message, tagging you, or naming you on Sponsor’s Instagram page. 5. PRIZES AND PRIZE RESTRICTIONS: One (1) prize will be awarded, consisting of the following: Bezel Round Eternity Lab Diamond Ring (1/2 ct. tw.) in 18K Yellow Gold, 18K White Gold, or 14K Rose Gold (winner’s choice). Total prize ARV: $1,590. No substitution, assignment or transfer of any prize is permitted except at Sponsor’s sole discretion, and prizes cannot be redeemed for cash. Sponsor reserves the right to substitute a prize of equal or greater value in its sole discretion. All taxes payable in connection with a prize, and the reporting consequence thereof, are the sole responsibility of the prize winner; SPONSOR AND INFLUENCER ARE NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES. 6. ODDS: The odds of winning depend upon the number of entries received. 7. WINNER SELECTION, NOTIFICATION, AND VERIFICATION: On or about December 22, 2025, the Sponsor will conduct a random drawing from among all eligible entries timely received to select one (1) potential winner. Sponsor will notify potential winner via Instagram direct message within approximately seven (7) days following the drawing. Potential winner must respond within five (5) days of being notified, otherwise the potential winner will be disqualified. Before awarding any prize, Sponsor may require a potential winner to submit a signed affidavit of eligibility and liability release; a completed Form W-9 or other appropriate tax form; and, where permitted by applicable law, a publicity release that, among other things, will allow Sponsor and Influencer to use such potential winner’s name, photograph, likeness, prize information, and biographical information for publicity and promotional purposes without further compensation, and without notice to, or prior review or approval from, such potential winner (collectively, “Prize Award Documents”). All Prize Award Documents must be returned within ten (10) days of receipt from Sponsor. If a potential winner is disqualified due to failure to timely respond to Sponsor’s notification, for failure or refusal to sign and return Prize Award Documents, or for any other reason, Brilliant Earth will not select an alternate winner, and the prize will remain un-awarded. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email or social media account(s), technical difficulties associated therewith, or any potential winner’s failure to adequately monitor any email or social media account. Brilliant Earth reserves the right to disqualify any potential winner should such potential winner be in violation of these Official Rules as determined by Brilliant Earth in its sole discretion. 8. RELEASE AND LIMITATION OF LIABILITY: By entering the Sweepstakes or receiving any prize, each entrant agrees to release and hold harmless Brilliant Earth, Influencer, and Meta Platforms, Inc. (parent company of Facebook and Instagram), and each of such party’s subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, employees, officers, directors, successors and assigns (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize. The Released Parties are not responsible for: (1) any incomplete, incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the promotion; (2) any lost or misdirected mail, or any technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use of misuse of any prize. Sponsor reserves the right to seek civil or criminal remedies to the fullest extent permitted by law against any individual who attempts to tamper with or undermine the legitimate operation of the Sweepstakes. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, if feasible; if not feasible (as determined by Sponsor in its sole discretion), entrant shall have no remedy or recourse against Sponsor or any other Released Parties whatsoever. In the event that production, technical, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, Brilliant Earth reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. 9. DISCLAIMER: Sponsor and Influencer make no representations or warranties of any kind, express or implied, regarding your participation in the Sweepstakes or any prize of any kind. The Sweepstakes, the prizes, and all materials provided on or through the Sweepstakes are provided "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 10. CONDITIONS: If, for any reason, the Sweepstakes (or any part thereof) is not capable of running as planned due to causes beyond the reasonable control of Sponsor—including but not limited to acts of God, war, terrorism, civil unrest, pandemic, government order, natural disaster, fire, flood, technical failures, or any other cause that, in Sponsor’s sole opinion, could corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes—Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes or any portion thereof. If the Sweepstakes is terminated before the designated end date of the Sweepstakes Entry Period, Sponsor may, at its discretion, conduct a random drawing from among all eligible entries received up to the time of such event to award the prizes, or take any other action deemed fair and appropriate by Sponsor. 11. PRIVACY AND USE OF SWEEPSTAKES INFORMATION: Brilliant Earth and Influencer each collect personal information from you when you enter this Sweepstakes. Sponsor reserves the right to use any information collected in accordance with its Privacy Policy. Except where prohibited, participation in the Sweepstakes constitutes entrant's consent to Sponsor’s use of entrant's name, likeness, biographical information, and all or a part of entrant's entry for promotional purposes in any media without payment or consideration, and without notice to, or prior review or approval from, entrant. All actions, proceedings or litigation relating hereto will be instituted solely within the state and federal courts located in the City and County of San Francisco, State of California. Each entrant hereby agrees and irrevocably consents to submit to the exclusive jurisdiction and venue of such courts for any and all claims arising from or related to this Agreement. 13.
