SPONSOR: The sponsor for the Giveaway is Grace Loves Lace Inc., located at 1510 Abbott Kinney Boulevard, Venice, CA 90291 ("Sponsor" or “Grace Loves Lace”). For purposes of this Giveaway, Sponsor has partnered with Brilliant Earth, LLC (“Prize Provider” or “Brilliant Earth”) to publish a collaboration post between Sponsor and Prize Provider on Instagram announcing the Giveaway. Except to the extent that Prize Provider may deliver the prize directly to winner, Prize Provider is not responsible for the administration of this Giveaway. 3. ELIGIBILITY: The Giveaway is open to current legal residents of the 50 United States (excluding residents of Rhode Island) and Washington, D.C. All entrants must be 18 years of age or older or age of majority or older (in those jurisdictions where age of majority is over 18). Employees of Sponsor or Prize Provider, including employees of Sponsor’s or Prize Provider’s respective affiliates and subsidiaries, such employees’ immediate family members (parent, child, sibling and spouse of each), and any other individuals living in the same households of such employees are not eligible. Void elsewhere and where prohibited by law. 4. HOW TO ENTER: Visit Sponsor’s Instagram post announcing the Giveaway (https://www.instagram.com/grace_loves_lace) (the “Giveaway Post”) and follow the instructions to receive one entry: follow @grace_loves_lace and @brilliantearth on Instagram; like and save the Giveaway Post; and leave a comment on the Giveaway Post tagging two friends. You may receive one additional entry by sharing the Giveaway Post to your Instagram Stories, making sure to tag @grace_loves_lace and @brilliantearth when sharing. All entrants must have an individually held Instagram account (personal, creator, and business Instagram account types are all acceptable, as long as individually held by entrant) and must be following both Sponsor and Prize Provider on Instagram to win. Limit two (2) entries per person, per Instagram account. For clarity, being tagged in another person’s entry does not count towards the entry limit, and those who have been tagged in an entry may submit their own Giveaway entries. Entries received from any person or Instagram account after the first two entries received from that person or Instagram account will be void and will not be counted. Any attempt to obtain more than the maximum stated number of entries by using multiple/different email or mailing addresses, accounts, identities, registrations and logins, or any other methods, will disqualify all that participant's entries and that participant will be disqualified from the Giveaway and may be disqualified from future Sponsor promotions. In the event of a dispute as to the identity of an entrant, the natural person who is the authorized account holder of the email address associated with the Instagram account used to enter this Giveaway will be deemed the entrant. Any use of an automated system to participate is strictly prohibited and will result in disqualification from the Giveaway and all future Sponsor promotions. By entering into this Giveaway, you agree that Sponsor or Prize Provider may contact you on Instagram by sending you a direct message, tagging you, or naming you on Sponsor or Prize Provider’s Instagram page. Participation is voluntary; if you have been tagged in a Giveaway entry and do not wish to participate, please contact the Sponsor via Instagram direct message to opt out. 5. WINNER SELECTION, PRIZES AND ODDS: On or about December 16, 2024, the Sponsor will conduct a random drawing of one (1) winner from among all eligible entries timely received. The odds of winning depend upon the number of entries received. One (1) prize will be awarded, consisting of a Brilliant Earth 18K Yellow Gold Perfect Solitaire Lab Diamond Pendant (1 ct. tw., DEF color, VS2 clarity) (ARV: US$1,495). Sponsor will notify the potential winner via Instagram direct message within approximately seven (7) days following the drawing. The potential winner must respond within ten (10) days of being notified, otherwise the potential winner will be disqualified. If a potential winner is disqualified due to failure to timely respond to Sponsor’s notification or for any other reason, Sponsor will not select an alternate winner and the prize will remain un-awarded. No substitution, assignment or transfer of any prize is permitted, except by Sponsor, which has the right to substitute a prize with another of comparable or greater value. No returns or exchanges of prizes permitted except at Sponsor's sole discretion. All taxes in connection with a prize, and the reporting consequence thereof, are the sole responsibility of the prize winner. Prize winner may be sent a tax form 1099, or other appropriate tax document, in the event the average retail value of the prize requires Sponsor to submit such form. Sponsor may require a signed affidavit and/or completed W9 or other appropriate tax form before awarding any prize. Prize winner may be required to pay shipping and handling fees. Sponsor, may in its sole discretion, pay for shipping and handling for any winner within our normal delivery areas. Any taxes or duties owed for shipping and handling fees will be the sole responsibility of the applicable winner. Sponsor and its agencies are not responsible for any delay or failure to receive notification for any reason, including inactive email or social media account(s), technical difficulties associated therewith, or any winner's failure to adequately monitor any email or social media account. Sponsor reserves the right to disqualify any winner should such winner be in violation of these Official Rules as determined by Sponsor in its sole discretion.   6. RELEASE AND LIMITATION OF LIABILITY: By entering the Giveaway or receiving any prize, each entrant agrees to release and hold harmless each of Sponsor, Prize Provider, and Meta Platforms, Inc. (parent company of Facebook and Instagram), and each of such party’s subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, employees, officers, directors, successors and assigns (collectively, the “Released Representatives”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Giveaway or receipt or use or misuse of any prize. The released parties are not responsible for: (1) any incomplete, incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the promotion; (2) any lost or misdirected mail, or any technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Giveaway; (4) technical or human error which may occur in the administration of the Giveaway or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Giveaway or receipt or use of misuse of any prize. Entrant agrees to release and hold each of Sponsor, Prize Provider and Meta Platforms, Inc., and each of such party’s Released Representatives harmless from any and all consequences, liability, losses, damages (including without limitation, consequential, punitive, incidental, special or increased damages and those related to personal injury, death or damage to property) and costs and expenses, of any kind, under any legal theory, arising from or related to this Giveaway, including but limited to entrant's entry and participation in this Giveaway, the acceptance and/or use (or misuse) of any prize, printing errors, any claims based upon rights of publicity and invasion of privacy. Sponsor and Prize Provider are not responsible for any fraud or misconduct on the part of the entrants. Should an entrant engage in fraud or misconduct of any nature, including but not limited to a violation of these Official Rules, that participant is subject to immediate disqualification from the Giveaway and perhaps future Sponsor or Prize Provider promotions. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Giveaway, if feasible; if not feasible (as determined by Sponsor in its sole discretion), entrant shall have no remedy or recourse against Sponsor or Prize Provider whatsoever. In the event that production, technical, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed (i.e., more than one (1) prize), Sponsor reserves the right to award only the stated number of prizes (i.e., one (1) prize) by a random drawing among all legitimate, un-awarded, eligible prize claims. 7. DISCLAIMER; LIMITATION OF LIABILITY: Grace Loves Lace and Brilliant Earth each make no representations or warranties of any kind, express or implied, regarding your participation in the Giveaway or any prize of any kind. The Giveaway, the prize, and all materials provided on or through the Giveaway are provided "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any prize awarded through the Giveaway is not subject to Prize Provider’s warranty for purchased products and will have no eligibility for repair or replacement for any defects. 8. PRIVACY AND USE OF GIVEAWAY INFORMATION: Sponsor and Prize Provider each collect personal information from you when you enter this Giveaway. All entrant information is subject to Sponsor’s Privacy Policy, which may be found at https://graceloveslace.com/pages/privacy-policy, and Brilliant Earth’s Privacy Policy, which may be found at http://www.brilliantearth.com/security-and-privacy-policies/#privacy. Sponsor and Prize Provider each reserve the right to use any information collected in accordance with its Privacy Policy. Except where prohibited, participation in the Giveaway constitutes entrant's consent to Sponsor’s and Prize Provider’s use of entrant's name, prize information, likeness, voice, opinions, biographical information, hometown and state and all or a part of entrant's entry for promotional purposes in any media without payment or consideration, and without notice to, or prior review or approval from, entrant. Within five (5) days of receiving notice, except where legally prohibited, Sponsor may also require potential winner to sign an affidavit of eligibility, liability release and a publicity release that, among other things, will allow Sponsor and Prize Provider to use entrant's name, photograph, likeness, voice, prize information, and biographical information for publicity and promotional purposes without further compensation, and without notice to, or prior review or approval from, entrant, where permitted by law.   Notice of Financial Incentive (California residents): This Giveaway may be considered a “financial incentive” under the California Consumer Privacy Act because we are giving entrants something in exchange for the collection and retention of their personal information. All actions, proceedings or litigation relating hereto will be instituted and prosecuted solely within the State of California, San Francisco County. Each entrant hereby agrees and irrevocably consents to submit to the exclusive jurisdiction and venue of the courts of the State of California and of the United States of America located in the State of California, United States of America, for any and all claims arising from or related to this Agreement. 10.
